1. NAME

The Club shall be called North Berwick Swimming Club.

2. OBJECTS

The objects of the Club shall be the Teaching, Promotion and Coaching of Swimming, at all levels and in accordance to membership requirements, in North Berwick, and the undertaking of other activities incidental or conducive to the furtherance of these objects.

3. MEMBERSHIP

A qualified coach of the Club will assess the competence of swimmers keen to join the club with a swim test. The swim test will help us assess the suitability of the swimmer to join the club and identify whether the swimmer need further coaching, providing tips on what to work on, or whether they are ready for the club’s Rookie Squad, or they are ready for direct entry.

3.1 The membership of the Club shall consist of the following categories:

Juniors – those members still attending school, or aged 18 years or under, will not be entitled to vote at General Meetings but will otherwise be entitled to all rights, privileges and responsibilities of full membership.

Adult Members – shall be entitled to all rights, privileges and responsibilities of full membership.

Honorary Members – the Executive Committee, in their absolute discretion, shall have the power to elect Honorary Members. Notwithstanding the foregoing, it is anticipated that any such member will have rendered significant service and support to the Club or have contributed with distinction to the sport of Swimming.

Honorary Members shall be exempt from payment of the Annual Subscription but will not be entitled to vote at General Meetings unless elected to the Executive Committee. They shall however be subject to the Rules of the Club and be entitled to all rights, privileges and responsibilities of full membership.

Life Members – the Executive Committee may, at an Annual General Meeting, present nominations for individuals to be elected at Life Members. It is anticipated that these individuals will have served the Club significantly during their period of membership. Life Members shall be exempt from payment of the Annual

Subscription but, shall be entitled to all rights, privileges and responsibilities of full membership, including the right to hold a position on the Executive Committee, vote at General Meetings and will be subject to the Rules of the Club.

Associate Members – those individuals who, not being members of the Club, have been appointed Swimming Convenor, or have been co-opted by the Executive Committee in their absolute discretion, to serve in any capacity on the Executive Committee or have been nominated by an Officer of the Club, following a decision of the Executive Committee, and subsequently elected at an Annual General Meeting, as a member of the Executive Committee or have been appointed by the Committee, at the recommendation of the Swimming Convenor, to the post of Teacher or Assistant Teacher in the Club. These individuals may, at the absolute discretion of the Executive Committee, be exempt from payment of theAnnual Subscription but shall be entitled to all rights, privileges and responsibilities of full membership including the right to vote at General Meetings and will be subject to the Rules of the Club and for the avoidance of doubt, in the case of Teachers or Assistant Teachers, be entitled to hold any position on the Executive Committee. Associate Membership shall cease on the individual holding such a membership retiring as a Teacher, Assistant Teacher or co-opted member of the Executive Committee.

3.2 The Annual Subscriptions shall be as agreed at each Annual General Meeting and be payable by existing Junior, Adult and, if applicable, Associate Members within One (1) Calendar Month of the relevant Annual General Meeting and by new members within One (1) Calendar Month of date of their admission to the Club.

3.3 All members joining the Club shall be deemed to accept the terms of this Constitution and any rules from time to time adopted by the Club.

4. Management

4.1 The affairs of the Club shall be conducted by an Executive Committee consisting of the Officers of the Club plus other Club members, up to a maximum of Fourteen (14) Executive Committee members in total.

4.2 The Officers of the Club, who shall be honorary, shall consist of a President, Vice-President, Secretary, Treasurer, Swimming Convenor, Membership Secretary, Badge Secretary and Social Convenor.

a) President and Vice-President shall each be elected for a Two(2) year term at an Annual General Meeting.

b) The remaining Officers and Club members, with the exception of the Swimming Convenor, shall be elected annually at the Annual General Meeting and current Executive Committee members may stand for re-election. The Swimming Convenor shall remain a member of the Executive Committee during his/her period of appointment.

4.3 If the post of any Officer or member of the Executive Committee should fall vacant after election, the Executive Committee shall have the power to fill the vacancy by co-option of either a Club Member or an individual who is not a Club member who would become an Associate member of the Club as herein before provided.

4.4 Swimming Convenor and/or Head Coach The appointment of the Swimming Convenor shall be in the absolute discretion of the Executive Committee.

4.5 All Executive Committee members shall be members of the Club.

4.6 Any Executive Committee Members, who in the opinion of a two-thirds majority of the Executive Committee, fails to carry out either their allocated role in an appropriate manner or acts in such a way so as to undermine the confidence of the Committee as to their continued presence on the Committee, may be removed from the Committee upon the giving of seven (7) days written notice, the Committee having as aforesaid, absolute discretion as to the filling of any vacancy arising.

5 General Meetings

5.1 Annual General Meeting The club shall hold an Annual General Meeting in the month of February in each year to:

  • Approve the minutes of the previous years AGM
  • Receive reports from the President, Swimming Convenor and Social Convenor
  • Receive a report from the Treasurer and approve the audited Annual Accounts
  • Elect the Executive Committee
  • Appoint Auditors for the Clubs Accounts
  • Consider changes to the Constitution
  • Renew and consider any Club Rules
  • Deal with other relevant business

5.2 Extraordinary General Meeting

An Extraordinary General Meeting shall be called by an application in writing to the Secretary supported by at least 15 voting members of the Club. The Executive Committee shall also have the power to call an Extraordinary General Meeting by decision of a simple majority of its members.

5.3 Notices

At least 30 days notice and the agenda shall be given to all voting members of any general Meeting.

5.4 Voting

With the exception of changes to the constitution, decisions put to a vote shall be resolved by simple majority at General Meetings. The President of the Club shall hold a deliberative as well as a casting vote.

5.5 Quora

The quorum at General Meetings shall be 25% of the voting membership and the quorum for Executive Committee Meetings shall be five (5) members.

5.6 Changes to the Constitution

Any changes to the Constitution shall require a two thirds majority of those present and eligible to vote at a General Meeting.

A proposal to change the Constitution must be submitted in writing to the Secretary who shall circulate the proposal to all members and allow seven days for submission of any amendments before calling a meeting in accordance with clause 5.3 above.

All proposals for changes to the Constitution shall be signed by four (4) members eligible to vote at a General Meeting.

6 FINANCE AND ACCOUNTS

6.1 The Financial Year will end on 31st  March in each year.

6.2 The Treasurer shall be responsible for the preparation of Annual accounts of the Club.

6.3 An independent person elected annually at the Annual General Meeting shall audit the Accounts.

6.4 All cheques drawn against the Club’s funds shall be signed by the Treasurer and one other nominated office bearer, with the exception of those for under £100, which may be signed by the Treasurer alone.

6.5 All voting members shall be jointly responsible for the financial liabilities of the Club.

7 RULES

The Executive Committee shall have the power to agree, publish and enforce such Rules as the Committee feels necessary to govern the activities of the Club.

8 DISSOLUTION

In the event of the dissolution of the Club, any assets thereof shall not be distributed amongst the members of the Club, but should be made over to the Senior Partner of J.Paris Steele & Co. W.S., 35 Westgate, North Berwick, or their successors, to be held by him/her, in his/her absolute discretion, until he/she is satisfied that a validly constituted Swimming Club has again been formed in North Berwick, when he/she shall arrange for the distribution of any remaining assets to the Office Holders of the new Club.

Notwithstanding the foregoing, if, in the said Senior Partners opinion, there is no reasonable prospect of a swimming club being reconstituted as aforesaid, he/she may arrange for the distribution of the assets, in his/her absolute discretion, so as to benefit the Teaching, Promotion and Coaching of sport in North Berwick.
